1. Introduction
Welcome to NegoGenie.com (hereinafter "NegoGenie", "we", "us", or "our"). NegoGenie provides an online platform offering bill negotiation services to users worldwide (collectively, the "Services"). These Terms of Service ("Terms") govern your access to and use of our website and Services, regardless of your location. By accessing or using NegoGenie, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. If you do not agree with any part of these Terms or the Privacy Policy, you must not use our Services.
These Terms constitute a legally binding agreement between you (the "User" or "you") and NegoGenie. The Services are offered subject to your acceptance of these Terms and all applicable laws and regulations. Applicability: These Terms apply to all visitors, users, and others who access the Service (collectively, "Users"). You agree that you are responsible for compliance with any local laws applicable to your use of the Services. Nothing in these Terms is intended to override any mandatory rights you have under local law. If you are a consumer, please note that these Terms do not affect your statutory rights under applicable law.
2. User Eligibility
You may use NegoGenie only if you meet the following eligibility criteria:
- Age: You are at least 18 years old (or the age of legal majority in your jurisdiction). The Services are not intended for use by minors under 18. If you are under 18, you must obtain parental or guardian consent and such adult will be responsible for your compliance with these Terms.
- Legal Capacity: You have the full legal capacity and authority to enter into this agreement. By using our Services, you represent that you are legally able to form a binding contract in your jurisdiction.
- Representing an Entity: If you are using the Services on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In that case, "you" refers to both you as an individual and the entity you represent.
- No Prohibitions: You are not a person barred from using the Services under the laws of any applicable jurisdiction. This includes, for example, that you are not on any trade or economic sanctions lists (such as the EU or U.S. denied parties lists) and that your use of the Services does not violate any applicable law or regulation (including export control or data protection laws).
- Account Ownership: You agree to use your own personal (or your authorized business) account information when registering and using the Service. You must be the bill account holder or have the express authority of the account holder to use our bill negotiation Services for a given account.
If you do not meet these eligibility requirements, you must not register for or use the Services. We reserve the right to suspend or terminate your account if we have reason to believe you do not meet the eligibility criteria.
3. Account Registration & Security
To access certain features of NegoGenie’s Services, you may be required to create an account.
Account Registration: When creating an account, you agree to provide truthful, accurate, current, and complete information as requested (including your name, email address, billing information, and any other details). You further agree to update your account information promptly if it changes, so we can maintain accuracy.
Account Security: You are responsible for maintaining the confidentiality and security of your account login credentials. You must not share your username or password with anyone, and you agree to notify us immediately at support@negogenie.com if you suspect any unauthorized access to or use of your account. You are responsible for all activities that occur under your account, whether or not authorized by you. NegoGenie will not be liable for any loss or damage arising from your failure to keep your account credentials secure.
One Account per User: You may only create one account for yourself, unless explicitly permitted by us in writing (for example, separate accounts for personal and business use if allowed). You may not sell, transfer, or allow any other person to use your account. We reserve the right to reject any registration or to close an account if we determine (at our discretion) that the account is in violation of these Terms or that the information provided is false, outdated, or incomplete.
By registering an account, you also consent to receive communications from us electronically (such as via email or via the Service interface) regarding your account and use of the Services, in accordance with our Privacy Policy. You can manage your communication preferences in your account settings or by contacting us.
4. Services Offered
NegoGenie specializes in negotiating better rates and terms for your recurring bills on your behalf.
Service Description: When you use our bill negotiation Services, you authorize NegoGenie to act as your agent in communications with your service providers (such as utility companies, telecom providers, insurance companies, or other billing entities) for the purpose of seeking reductions in your bills or obtaining promotional rates and credits. We will use the information you provide (e.g., account details, billing history) to negotiate with your providers and attempt to secure savings or improved terms for you.
How the Service Works: In practice, you will need to supply us with copies of your bills, account credentials, or other necessary information to allow us to evaluate and negotiate your bills. By submitting this information, you confirm that:
- You are the account holder of each bill or have full authorization from the account holder to make changes and negotiate that bill.
- All information you provide to us (including copies of bills, account numbers, login credentials, and any required PINs or verification details) is accurate and up-to-date.
- You grant NegoGenie the permission to represent you and act on your behalf when dealing with your service providers. This includes communicating in your name, identifying as your authorized agent, and, where applicable, agreeing to contract modifications (such as accepting new rates or plan terms) that we believe in good faith will benefit you by lowering your costs.
Limitations of Service: While we strive to achieve the best possible outcomes, NegoGenie cannot guarantee that we will obtain a bill reduction or savings in every case. The negotiation outcome depends on factors beyond our control, such as your provider’s policies, your current contract terms, and market conditions. You acknowledge that:
- We will make commercially reasonable efforts to lower your bills, but results are not guaranteed. If we are unable to secure any savings or benefits for you, you will not be charged any commission fees for that negotiation (subscription fees, if applicable, are still payable for the service provided).
- Any changes we secure on your behalf (e.g., switching you to a different plan, extending your contract, adding promotional credits or discounts) will be changes we believe, in good faith, will reduce your costs. We will not agree to any changes that we believe would increase your overall cost without your prior consent.
- We do not provide financial, legal, or tax advice. Our Services are limited to negotiation of bills and do not include advising you on whether to accept a deal or how to manage your finances. Any decision to proceed with a negotiation outcome is ultimately yours, and you should review any changes or new terms from your provider.
- Service availability may vary by region and provider. Some types of bills or providers may not be eligible for our Services, and we reserve the right to decline a negotiation request at our discretion (for example, if we determine we cannot effectively negotiate that particular bill or if it involves a service outside our supported categories).
User Cooperation: You agree to cooperate with us in the negotiation process. This means promptly providing necessary information or documents upon request, and informing us if you directly receive any communication from your provider regarding a negotiation we are handling. If a provider requires confirmation or authorization from you during a negotiation, you agree to respond in a timely manner. Failure to cooperate may result in a delayed or unsuccessful negotiation, for which we are not responsible.
5. Payment Terms
NegoGenie offers its Services under different pricing models. By using our Services, you agree to the fees and payment terms as outlined below, and as may be updated from time to time on our website. All fees are stated in [applicable currency, e.g., USD or EUR] unless otherwise specified, and are exclusive of any applicable taxes (such as VAT or sales tax) which you are responsible to pay.
5.1 Subscription Plans
We may offer subscription-based plans for our Services. If you choose a subscription plan, you will be charged a recurring fee (e.g., monthly or annually) for continued access to our bill negotiation Services:
- Billing Cycle: Your subscription will begin on the date you sign up and provide payment, and will automatically renew at the end of each billing cycle (e.g., on the same day each month or year) unless you cancel prior to the renewal date. By providing a payment method for subscription, you authorize NegoGenie to charge the subscription fee to your provided payment method at each renewal.
- Cancellation: You can cancel your subscription at any time by contacting us or using the account settings on the Site. If you cancel, you will continue to have access to the Services until the end of your current paid-through period.
- Refunds: Subscription fees (and any setup or initiation fees) are generally non-refundable. If you cancel, we will not issue a prorated refund for the remaining period of your subscription except where required by law or explicitly stated in a promotional refund policy. We may consider refund requests on a case-by-case basis in our sole discretion (for example, if the Services were unavailable or not provided as promised for a significant time).
- Changes to Fees: We reserve the right to change the subscription fee for future renewal periods. If we increase the price or change the terms of a subscription, we will provide you with advance notice (for example, by email or a notice on our site) so you can review the changes. Price changes will not apply retroactively; they will take effect from your next billing cycle. If you do not agree with a fee change, you must cancel your subscription before the new rate takes effect.
5.2 Commission-Based Fees
As an alternative to a subscription, NegoGenie may offer a commission-based pricing model (sometimes known as a “success fee”). Under this model, you only pay when we successfully save you money on a bill:
- No Upfront Cost: There is no initial fee to submit a bill for negotiation under the commission model. We will analyze and attempt to negotiate your bill without an upfront charge.
- Commission Rate: If we succeed in reducing your bill or obtaining credits/refunds from your provider, we will charge you a commission equal to a percentage of the savings achieved. The exact commission rate (for example, 30% or 40% of the savings) will be disclosed to you before you submit a bill or as part of the plan you select. Calculation of Savings: Savings are typically calculated as the difference between what you would have paid to the provider over a defined period (e.g., the next 12 months) at your old rate versus the new negotiated rate, or as the one-time credit/refund obtained. We will explain to you how the savings were determined in each case.
- Payment and Billing: Once a successful negotiation is completed, we will notify you of the outcome and the savings obtained. We will then charge your payment method the applicable commission fee. Depending on the arrangement, the commission may be charged as a one-time lump sum or in installments corresponding to the period of savings (e.g., monthly as savings accrue). By using the Service, you agree that NegoGenie may charge your saved payment method for the commission fee when due. You will receive an invoice or receipt detailing the savings and our commission.
- No Savings, No Fee: If we do not achieve any savings or benefits on a particular bill negotiation, you owe us nothing for that negotiation (though if you are on a subscription plan, your subscription fee still covers the effort and access to the Service, but no extra commission will be charged).
- Disputes & Refunds: If you believe that a commission charge is incorrect or if you did not receive the promised savings, you must contact us within 30 days of the charge to dispute it. We will investigate any disputes in good faith. If we determine that a mistake was made (for example, if the savings did not actually materialize with your provider or were miscalculated), we will adjust or refund the relevant commission fee. Unauthorized chargebacks or failure to pay owed commissions may result in suspension of your account, and we reserve the right to pursue any outstanding amounts via collection efforts.
General Payment Terms: You must provide a valid payment method (such as a credit card or other accepted payment account) when signing up for our Services, whether subscription or commission-based. You represent that you are authorized to use the payment method provided and you authorize us (and our designated payment processors) to charge your payment method for all fees incurred under your account. All payments are processed using secure third-party payment processors; we do not store your full financial information on our own servers, in accordance with our Privacy Policy. If a payment fails or is declined (e.g., due to expiration or insufficient funds), we may attempt to re-charge after a short interval. If the issue persists, we may notify you to update your payment info, and we may suspend or limit your Service until payment is resolved.
Any fees, charges, or commissions paid to NegoGenie are non-refundable, except as expressly provided in these Terms or required by applicable law. If you are entitled to a refund by law (for instance, certain jurisdictions may provide cancellation rights for online services within a short period), we will process the refund as required. Otherwise, your sole remedy for dissatisfaction with the Services is to cancel any subscription or stop using the Services for future bills (subject to any ongoing obligations already incurred).
6. User Rights & Responsibilities
When you use NegoGenie, you agree to do so in accordance with these Terms and all applicable laws.
User Rights: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use our Services for your personal or internal business use. This means you may use the platform to manage and negotiate your bills as intended. You do not obtain any ownership of the Services or any intellectual property rights by using the platform; rather, you have a permission (a license) to use it under these Terms.
Acceptable Use Policy: You agree not to misuse the Services. The following activities are strictly prohibited:
- Illegal Activities: You will not use the Services for any unlawful purpose or in furtherance of illegal activities. You must comply with all laws and regulations applicable to your use of NegoGenie.
- Unauthorized Access: You will not attempt to gain unauthorized access to any portion of our Service, or any other accounts, computer systems, or networks connected to our Services, through hacking, password mining, or any other means. Similarly, you must not attempt to interfere with or disrupt the integrity or proper working of our Services (for example, by introducing viruses, malware, or any other harmful code).
- Impersonation and Misrepresentation: You will not impersonate any person or entity or misrepresent your affiliation with a person or entity when using the Services. You must use your own identity and information, and only provide information for accounts that you are authorized to manage.
- Data Mining and Abuse: You will not use any automated system (such as bots or scripts) to extract data from our Site, nor will you send more request messages to our servers than a human can reasonably produce in the same time using a normal browser. You also agree not to exploit, duplicate, copy, sell, trade, or resell any portion of the Service for any commercial purpose beyond the Service’s intended use.
- Prohibited Content: While using any communication features of the Service (for example, if you can post reviews, interact in forums, or send messages to us), you will not post or transmit any content that is unlawful, defamatory, harassing, abusive, fraudulent, obscene, or otherwise objectionable. You will not upload or share any content that infringes any third-party rights (including intellectual property rights and privacy rights).
User Responsibilities: You are responsible for your use of NegoGenie and for any content or information you provide to us:
- You must ensure that all information you provide (including personal details, billing information, and any documents) is accurate and that you have the right to provide it. You should not provide information that belongs to someone else without their permission.
- If you create or upload any content to our Service (for instance, profile information, feedback, or other materials), you retain ownership of that content, but you grant NegoGenie a worldwide, royalty-free, sublicensable license to use, reproduce, modify, and display that content as needed to provide the Services. For example, if you submit a testimonial or feedback, we might display it (with your permission).
- You are responsible for maintaining the security of any devices from which you access the Services and for implementing appropriate measures (like updated antivirus software) to protect against security threats that could affect NegoGenie or the Services.
- You must use the Services only for their intended purpose. Do not attempt to use our negotiation Service for bills or accounts that you are not authorized to manage, and do not use the Service for any kind of fraudulent or malicious activity.
We reserve the right to investigate and take appropriate legal action against anyone who, in our view, violates this Acceptable Use Policy or any other provision of these Terms. This may include suspending or terminating accounts and, if necessary, reporting violators to law enforcement authorities.
7. Privacy & Data Protection
Your privacy is of utmost importance to us. Our collection, use, and processing of personal data through NegoGenie is governed by our Privacy Policy and by applicable data protection laws, including the European Union’s General Data Protection Regulation (GDPR) and other international privacy regulations. By using the Services, you acknowledge that we will collect and use your personal information as necessary to provide the Services and as described in our Privacy Policy.
Personal Data We Collect: We may collect various types of personal data from you, such as your name, contact information, account login credentials for your service providers (where you provide them), billing statements and account details, payment information, and usage data from your interactions with our Site. We collect this information to operate the Service (for example, to negotiate your bills, to communicate with you, and to process payments).
Lawful Basis and Consent: We only process your personal data when we have a lawful basis to do so. In most cases, the primary basis is that processing is necessary to perform our contract with you (i.e., these Terms and delivering the Service you have requested). In other cases, we may process data to comply with a legal obligation or for our legitimate interests (such as improving our Services, preventing fraud, or securing our systems), but we will not do so if those interests are overridden by your data protection rights. Where we rely on your consent (for example, if we wish to send you marketing communications not related to providing the Service), you have the right to withdraw your consent at any time.
How We Use Your Data: We will use your personal data only for specified and legitimate purposes, including:
- Providing and improving the Services (e.g., using your bill information to negotiate with providers, using your email to send Service updates).
- Communicating with you about your account, negotiations, updates, and responding to your inquiries.
- Processing payments and fulfilling our billing operations for subscription or commission fees.
- Enforcing our Terms and preventing fraud or misuse of our platform.
- Complying with legal obligations (such as record-keeping, lawful requests by public authorities, or court orders).
We do not sell your personal data to third parties. We may share your data with third parties only in the following situations: (a) with your service providers as necessary to perform the negotiations on your behalf, (b) with third-party service providers who assist us in running our business (such as cloud hosting, data storage, customer support, or payment processors) under strict confidentiality and data protection terms, (c) if required by law or pursuant to a court order or governmental request (we will strive to notify you unless we are legally prohibited), or (d) in connection with a business transfer (e.g., if NegoGenie is involved in a merger, acquisition, or asset sale, your data may be transferred to the successor entity under the same privacy commitments).
Data Subject Rights (GDPR and similar laws): If you are located in the European Economic Area (EEA) or a region with similar data protection laws, you have certain rights regarding your personal data. Subject to applicable law and certain exceptions, these rights may include:
- Right of Access: You can request a copy of the personal data we hold about you.
- Right of Rectification: You can ask us to correct or update inaccurate or incomplete personal data.
- Right to Erasure: You can request that we delete your personal data (“right to be forgotten”), for example, if it is no longer necessary for us to retain it. Keep in mind we may need to keep certain information as required by law or for legitimate business purposes (e.g., billing records).
- Right to Restrict Processing: You can ask us to restrict or suspend the processing of your personal data in certain circumstances, such as if you contest the accuracy of the data or object to our processing.
- Right to Data Portability: You can request a digital file of your personal data to transfer to another service provider, where applicable.
- Right to Object: You can object to our processing of your personal data for certain purposes, such as direct marketing or when we process data based on legitimate interests.
- Right to Withdraw Consent: If we are processing your personal data based on your consent, you have the right to withdraw that consent at any time, without affecting the lawfulness of processing before withdrawal.
- Right to Complaint: You have the right to lodge a complaint with a supervisory data protection authority in your country if you believe we have infringed your privacy rights. We encourage you to contact us first at privacy@negogenie.com so we can address your concerns.
To exercise any of these rights, you can contact us at the email address provided in the Contact section of these Terms or through the methods described in our Privacy Policy. We will respond to requests in accordance with applicable law, and may need to verify your identity before fulfilling the request for security purposes.
Data Security: We implement appropriate technical and organizational measures to protect your personal data against unauthorized access, loss, or destruction. This includes encryption of sensitive information, regular security assessments, and restricting access to personal data only to personnel and contractors who need it to perform their job duties. However, no method of transmission over the Internet or electronic storage is 100% secure, so while we strive to protect your data, we cannot guarantee absolute security. You also play a role in protecting your information by keeping your account credentials secure as noted in Section 3.
Data Retention: We retain personal data only as long as necessary to fulfill the purposes outlined in these Terms and our Privacy Policy, unless a longer retention period is required or permitted by law. For example, we may retain certain transaction details for accounting or legal compliance. When personal data is no longer needed, we will anonymize or securely delete it.
International Transfers: As an international service, the personal data we collect may be transferred to and stored in countries outside of your own, including countries that may have different data protection standards (for example, if our servers or service providers are located elsewhere). When we transfer data internationally, we will take steps to ensure appropriate safeguards are in place to protect your information, such as using standard contractual clauses approved by the European Commission for data transfers or ensuring the recipient is certified under a recognized international framework. By using our Services, you understand that your data may be transferred to our facilities and to those third parties with whom we share it as described.
For more details about our privacy practices, please review our Privacy Policy. If there is any conflict between the Privacy Policy and this Section 7 of the Terms, the provisions providing greater protection to user data shall prevail.
8. Limitation of Liability
Use at Your Own Risk: NegoGenie strives to provide reliable and effective Services, but you understand that the use of our Services is at your own risk. The Services are provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, we disclaim all warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that we will always be able to achieve savings on your behalf. We make no guarantee regarding the outcomes or results that may be obtained from the use of the Services, or that the results will meet your expectations.
Limitation of Liability: To the fullest extent permitted by applicable law, NegoGenie and its officers, directors, employees, agents, and affiliates will not be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages whatsoever. This includes, without limitation, damages for lost savings or profits, lost business or opportunities, loss of data, or any other intangible losses, arising out of or related to your use of or inability to use the Services, or any information or result obtained through the Services, even if we have been advised of the possibility of such damages.
In no event shall NegoGenie’s total cumulative liability for all claims arising under or relating to these Terms or the Services exceed the amount actually paid by you to NegoGenie for the specific Service in question in the six (6) months immediately preceding the event giving rise to the liability (or, if the claim occurs during a free or commission-only use where no payment was made to us, $50 USD or equivalent). This limitation applies to all causes of action, whether based in contract, tort (including negligence), strict liability, or any other legal theory.
Exceptions: Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. To the extent that such laws apply to you, some of the exclusions or limitations above may not apply. In such cases, NegoGenie’s liability will be limited to the maximum extent permitted by law. Nothing in these Terms shall limit or exclude liability that cannot be limited by law, such as liability for death or personal injury caused by our gross negligence or willful misconduct, or any liability which may not be lawfully excluded or limited.
Third-Party Actions: NegoGenie is not responsible for the actions or inactions of third parties, such as your service providers or payment processors, or for issues on their side that might affect our ability to provide Services. For example, if a utility company refuses to negotiate or fails to implement a promised discount, NegoGenie will not be liable for any resulting costs or damages to you, though we will attempt to resolve the issue on your behalf. Similarly, any material or links on our Site that lead to third-party websites or services are not under our control; we are not responsible for their content or any damages or losses you may incur by using those third-party resources.
You acknowledge that the limitations of liability and warranty disclaimers in this Section are a fundamental part of the agreement between you and NegoGenie, and that without such limitations, the fees for the Services would be higher or the Services might not be offered.
9. Dispute Resolution
We hope to resolve any concerns or disputes you may have through our support team. However, if a dispute arises between you and NegoGenie regarding these Terms or the Services that cannot be resolved informally, this section explains how we agree to resolve it.
Governing Law: These Terms and any dispute or claim arising out of or in connection with these Terms or your use of the Services (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles. However, if you are a consumer resident in a country with mandatory consumer protection laws, you additionally enjoy the protection of the mandatory provisions of the law of your country of residence. Nothing in this clause, or elsewhere in these Terms, affects your rights as a consumer to rely on such mandatory provisions of local law.
Jurisdiction: Subject to the arbitration clause below (if applicable), we each agree that any legal proceedings that are permitted under these Terms (in spite of the arbitration agreement or if the arbitration agreement is found unenforceable) will be brought exclusively in the courts of the jurisdiction specified above, unless otherwise required by mandatory law. You consent to the personal jurisdiction and venue of those courts and waive any objection on grounds of inconvenient forum.
Arbitration Agreement: At our option, any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Services that cannot be resolved amicably shall be resolved by binding arbitration on an individual basis. Arbitration is a process where a neutral arbitrator, rather than a judge or jury, resolves the dispute. If we elect arbitration, the arbitration will be administered by a recognized arbitration institution (for example, the American Arbitration Association (AAA) if in the US, or the International Chamber of Commerce) under that institution’s rules for consumer arbitration. The arbitrator’s decision will be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.
- Opt-out and Exceptions: You have the right to opt out of this arbitration agreement by notifying us in writing within 30 days of first agreeing to these Terms, stating that you do not agree to arbitration. Additionally, either party may seek relief in a small claims court for eligible disputes, and nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of law to prevent actual or threatened infringement of a party’s intellectual property or other rights.
- Class Action Waiver: You and NegoGenie agree to resolve disputes on an individual basis, and each waives the right to participate in a class action or class-wide arbitration. This means that you cannot bring a claim as a plaintiff or class member in a class, consolidated, or representative action, and an arbitrator cannot combine more than one person’s claims or otherwise preside over any form of a representative or class proceeding, unless all involved parties agree otherwise.
If this arbitration clause is found to be unenforceable or if you opt out, then disputes shall be resolved in the courts as specified in the Jurisdiction section above, and the class action waiver shall still be applied in court to the extent permitted by law.
Time Limits: Any dispute or claim you may have arising out of or relating to these Terms or the Services must be commenced within one (1) year after the cause of action accrues; otherwise, such claim is permanently barred. (This one-year limit does not apply where prohibited by law. For example, if you are a consumer in a jurisdiction that does not allow such a limitation, then the statutory limitation period will apply.)
10. Termination & Modifications
Termination by You: You may stop using the Services at any time. If you wish to terminate your account, you may do so through your account settings or by contacting us at support@negogenie.com. Terminating your account will disable your access to the Services and delete or anonymize your personal data in accordance with our Privacy Policy (subject to data retention obligations for legal purposes). Please note that terminating your account will not automatically cancel any ongoing negotiations or subscriptions; you must separately cancel subscriptions to stop further billing (see Section 5.1 on Cancellation). If you terminate your account while we are in the middle of a negotiation on your behalf, we will cease negotiations and you may lose any potential savings that were in progress. Any commissions earned by NegoGenie prior to termination (for successful negotiations completed before termination) will still be due.
Termination by NegoGenie: We reserve the right to suspend or terminate your access to the Services (in whole or in part) under the following circumstances:
